Darcy is saying to Elizabeth his feelings towards her that he loves her but subsequently Elizabeth refuses because she dislikes him. Elizabeth's grounds for not saying yes because he insulted her and ruining a couple's love for each other.
additionally if u remembered when darcy first entered with mr collins he was said to be handsome and a gentle man but after he had the conversation with mr collins and elizabeth over heard that is where she started disliking him. she thought that he was to full of him self.
i agree .. Darcy is professing his love for Elizabeth but she doesn't like him so she turns him down. Elizabeth's gorund for not saying yes to Darcy were she thought he had to much pride and arrogance which is true and she also thought that he was a cruel man towards wickam ..a man he had grown up with and if he could b that cruel to a family friend then he is no deserving of any upstanding woman much less herself.

2. His seemingly unfair treatment and ostracism of Mr. Wickham which made him seem all the more cruel and heartless in her eyes.

3. His arrogant and snooty attitude toward everyone of lower social standing than himself and his hurtful remarks toward Elizabeth.
Elizabeth - "I might as well inquire," replied she, "why with so evident a design of offending and insulting me, you chose to tell me that you liked me against your will, against your reason, and even against your character?"
Darcy - "Could you expect me to rejoice in the inferiority of your connections? - to congratulate myself on the hope of relations, whose condition in life is so decidedly beneath my own?"
Based on the knowledge she had, Elizabeth had every right to turn him down right there and then. The accusations she brought against him were more than enough for her to decide that he was completely unacceptable.
Elizabeth said no to darcy's proposal because she did not like his personality in that he was full of so much pride and also because of what he did to her sister jane and bingly.
Elizabeth never had the best impression of Mr.Darcy from the first time she saw him, and that continued even after she began to get aquainted with him, and eventhough it was the same for Mr.Darcy at first, you could say that after he got aquainted with her his perspective changed and he found himself developing feelings for her, and so he proposed to her but she denied his proposal. The reasons for elizabeth's denial was that she wasn't too fond of his attitude [ his "proudness" ] , she didn't like the fact that he was the reason for Jane's and Mr.Bingley's separation and also for what he "did" to Mr.Wickham. So yes, I agree with everyone as well :-)
In this excerpt, Elizabeth flatly refuses Darcy's proposal because she thinks his disposition to be repulsive and arrogant. His snide statements about those of a lower social standing than himself and his allegedly guileful deeds which serve to disadvantage Wickham fuel Elizabeth's loathing for Darcy and hence, she does not hesitate to reject his proposal.
I felt sorry for Darcy because when he finally does something "good" it turns out bad. But Elizabeth had every right to refuse him after all what he had done. She represented every wwoman who has ever been negated by an arrogant, narrow minded,ignorant...!!! and proud bastard who calls themself a man!Sarah-two thums up on that comment! Better yet four!!! lol. I couldn't have said it better myself.This exerpt is a good exemple of why you should think before you talk. because if Mr. Darcy wasn't so proud and kept his insults to himself, Elizabeth might have considered his proposal.
from what i've gathered ....Elizabeth was asked by darcy to be his wife ...however she said no ....reasons being she doesnt like him ...or so she thinks at that momment in time...because she thinks that he has to much pride and is to self wrapped up to care about anyone but himself .... but it is my personal view that the reason she said no is because she was still quite upset that he refused to dance with her that night at the ball and this was her way of returnin a favour.....in my opinion they both have alot of self pride and nned to get over themselves..... darcy is tryin atleast so it may seem lol(this is fun)
